By using this website, purchasing products, or engaging in managed cybersecurity services, you agree to these Terms & Conditions. Please read them carefully.

1. Use of Website

  • You must be at least 18 years old to use our services.

  • You agree not to misuse our website for unlawful purposes.

2. Products & Services

Managed Cybersecurity Services

Varpath managed services are provided with the understanding that there is no current emergency, no customer APT (Advanced Persistent Threat), and no active attack where immediate Incident Response (IR) is needed. Variable Path Inc. and its partners (hereafter interchangeable as “Varpath”) provide IR as a separate solution, with a potentially different engineering team. Services provided may vary between packages. Varpath aims to provide reliable protection but cannot guarantee 100% prevention of cyber threats.

Onboarding

During the onboarding process and for ongoing delivery of Services, Client must initially provide and keep up to date contact information of the individuals designated by Client to receive client communications. Client is solely responsible for ensuring it notifies Varpath of any changes to contact information provided during onboarding. Client expressly acknowledges and agrees that Varpath shall not be responsible or liable for any delays or Service delivery failures arising from Client’s failure to update its designated contact information.

Installation and Licensing Requirements

Client will install Varpath software on all Managed Endpoints to be covered by the Service. Additional licenses may need to be purchased for compliance monitoring to cover other devices discovered to be part of the network.

Investigation and Threat Response

Investigation – Varpath will perform investigations as needed to confirm threats.

Threat Response – Includes isolating Managed Endpoints if specific conditions are met or as needed.

Threat Hunting – Varpath can provide Threat Hunting to search for threats that may have evaded existing detection controls. This will only be provided in relation to data collected from Managed Endpoints and will focus on identification of attacker behaviors and tactics.

Isolation – Varpath may utilize tools to isolate Managed Endpoints.

Client Acknowledgement
Client acknowledges and agrees that Client’s authorization to isolate Managed Endpoints could result in interruption or degradation of systems and infrastructure. Varpath will have no liability to Client for any damages arising from or related to such interruption or degradation of Client’s and/or the managed service recipient’s systems and infrastructure.

Threat Intelligence Data
Varpath may collect, access, use, process, transmit, or store threat intelligence data in connection with the provision of the Service. Varpath retains all intellectual property rights in its data. Varpath may share Threat Intelligence Data with selected reputable members of the IT industry for the purposes of promoting awareness of security risks, anti-spam, and security threat research.

Exclusions
Varpath is not responsible for:
a) Any activities that are not expressly provided, including (without limitation) remediation of Incidents.
b) Any Incidents or compromises that occurred or existed prior to the Service subscription start date.
c) Any Incidents, threats, or compromises that exist in third-party systems.

3. Orders & Payments

  • Payments must be completed before product delivery or service activation.

  • We use secure third-party payment gateways.

4. Refunds & Cancellations

  • Managed Services: Client may cancel monthly or annual services with written notice.

  • Hardware, software, or licenses kept after 30 days will be billed to Client as a purchase from Varpath.

  • Cost is set at fair market replacement value. Administrative licenses and passwords will be turned over to Client upon purchase.

5. Limitation of Liability

Acknowledgement
Client agrees and acknowledges that Varpath will not be liable or be considered in breach of services if impacted as a result of industry or infrastructure ransomware, cyberwarfare, or other problems that cause Varpath to be unable to provide resources to address an incident. Unforeseen circumstances include any Force Majeure, legal prohibition (including but not limited to passing of a statute, decree, regulation, or order), any period of Service suspension by Varpath in accordance with the terms of the Service Description, Client being in breach of the Agreement, or any unscheduled maintenance windows. Varpath is not liable for any indirect, incidental, or consequential damages arising from product use or service interruptions. While Varpath provides cybersecurity services, no service can guarantee complete immunity
from cyberattacks.

Managed Security Services Disclaimer
Varpath does not warrant that the solutions it provides will prevent all security incidents, detect all threats, or ensure complete system security. Cybersecurity threats are constantly evolving, and no security solution can guarantee complete protection.

6. Intellectual Property

  • All content on this site (logos, text, images, designs) is owned by Varpath or licensed to us.

  • You may not copy, reproduce, or distribute our content without permission.
